These Terms of Service ("Terms") constitute a legal agreement between you ("Client" or "you") and Atlas Piece, Inc. ("Atlas Piece," "we," "us," or "our"). By accessing or using the Atlas Piece platform and services, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use our services.
Atlas Piece reserves the right to modify these Terms at any time. Your continued use of our services following any such modification constitutes your acceptance of the revised Terms.
Atlas Piece provides a managed virtual assistant placement and support platform. Our services include:
Atlas Piece acts as a service provider and professional intermediary. Your virtual assistant is an independent contractor placed through our platform. Atlas Piece remains responsible for coordination, quality assurance, and support throughout your engagement.
To use Atlas Piece services, you must meet the following requirements:
By using Atlas Piece, you represent and warrant that you satisfy these eligibility requirements. If you do not meet these requirements, you are not authorized to use our services.
To access our services, you must create an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to notify Atlas Piece immediately of any unauthorized use of your account.
Atlas Piece utilizes a proprietary matching process to pair you with a suitable virtual assistant. This process involves assessing your business needs, defining required skills and competencies, and evaluating candidate qualifications. While we make reasonable efforts to provide optimal matches, Atlas Piece does not guarantee the perfect fit in all cases.
During the booking process, you will select the capacity level of virtual assistant support you require. Capacity options are measured in hours per week and correspond to specific pricing tiers. Your selected capacity determines the scope of work your assigned virtual assistant can undertake. Changes to capacity levels may be requested subject to availability and pricing adjustments.
Once a virtual assistant has been matched with your account, an onboarding kickoff call will be scheduled. This call typically involves you, your assigned virtual assistant, and an Atlas Piece specialist to discuss expectations, processes, and initial project setup.
Atlas Piece operates on a monthly billing cycle. Invoices are issued at the beginning of each calendar month for services rendered during the billing period. Payment is due within 30 days of invoice issuance.
Service fees are capacity-based and determined by the number of hours per week of virtual assistant support you have selected. Monthly fees are calculated as: (Weekly Hours) x (Weeks in Month) x (Hourly Rate). Different capacity levels may have different hourly rates.
We accept the following payment methods:
If payment is not received within 30 days of invoice issuance, a late fee of 1.5% per month (or the maximum allowed by law, whichever is less) will be assessed. Failure to pay for three consecutive months may result in suspension of services and potential account termination.
Services are provided on a monthly basis and are generally non-refundable once rendered. Refund requests for unused portions of a billing period must be submitted in writing and are evaluated on a case-by-case basis. Refunds for service quality issues are available only if reported within 14 days of the issue occurrence.
Atlas Piece reserves the right to adjust pricing with 30 days written notice. Continued use of services after the effective date of price changes constitutes acceptance of the new pricing.
Upon account activation, you will be assigned a dedicated virtual assistant. This individual will serve as your primary point of contact and will be responsible for delivering the services outlined in your engagement agreement. Your virtual assistant may take scheduled time off; during their absence, coverage may be provided by another qualified team member at our discretion.

Virtual assistant availability is determined by the capacity level selected and is subject to time zone differences. Business hours are Monday through Friday, 9:00 AM to 5:00 PM in the virtual assistant's designated time zone, unless otherwise agreed in writing.

Atlas Piece understands that not all placements result in an ideal working relationship. If you determine that your assigned virtual assistant is not a good fit for your needs, we are committed to facilitating a transition.

Atlas Piece will manage the entire transition process, including:
While Atlas Piece accommodates reasonable replacement requests, we reserve the right to limit replacements if they occur with unusual frequency or appear to reflect unrealistic expectations on the part of the client. A pattern of repeated replacements (more than three per contract year) may require a discussion regarding client expectations and compatibility.
Replacement services are provided at no additional cost to you, provided the request is made within the first 90 days of a new assignment. Replacements requested after 90 days are available but may be subject to expedited placement fees.
Both Atlas Piece and you acknowledge that in the course of our business relationship, each party may receive confidential information belonging to the other. Both parties agree to maintain the confidentiality of any proprietary information received.
You may share proprietary business information with your virtual assistant as necessary to perform assigned work. You represent that you have the right to share such information and that sharing does not violate any third-party agreements. Atlas Piece and your virtual assistant agree to:
You agree to maintain the confidentiality of Atlas Piece's proprietary processes, methodologies, matching algorithms, pricing structures, and other business information. You will not disclose this information to third parties without prior written consent.
Confidentiality obligations do not apply to information that:
Confidentiality obligations survive the termination of this agreement for a period of three years.
All work product, deliverables, documents, analyses, and materials created by your virtual assistant in the course of performing services for you ("Work Product") shall be deemed the exclusive property of your business entity. This includes, but is not limited to:
Notwithstanding the above, you grant Atlas Piece a non-exclusive, royalty-free license to use de-identified and generalized work samples for quality assurance, training, and improvement of our platform and processes, provided that such use does not disclose your confidential information or violate any third-party rights.
Virtual assistants retain the right to use general skills and experience gained during the engagement. They do not retain ownership rights to specific work product or deliverables created for your account.
You are responsible for ensuring that all instructions and work you request do not infringe upon any third-party intellectual property rights. You agree to indemnify Atlas Piece and your virtual assistant from any claims arising from your use of their services to create infringing content.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATLAS PIECE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF ATLAS PIECE SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF ATLAS PIECE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ATLAS PIECE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ATLAS PIECE IN THE 12 MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY, SO THIS LIMITATION MAY NOT APPLY TO YOU.
ATLAS PIECE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ATLAS PIECE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ATLAS PIECE DOES NOT GUARANTEE THE PERFORMANCE QUALITY, AVAILABILITY, OR UNINTERRUPTED OPERATION OF SERVICES.
While Atlas Piece makes reasonable efforts to ensure quality service delivery, we do not guarantee that your virtual assistant will meet all expectations or perform every task to your complete satisfaction. Virtual assistants are independent contractors, and service quality may vary based on factors beyond Atlas Piece's direct control.
Either party may terminate this agreement and your use of Atlas Piece services at any time, provided that the terminating party provides 30 days written notice to the other party. The notice must be sent via email to hello@atlaspiece.com (for Atlas Piece) or through your account dashboard (for clients).
Termination becomes effective on the date specified in the notice, which must be at least 30 days after the notice is sent. Services will continue through the effective termination date, and you will be responsible for payment for services rendered through that date.

Sections 9 (Confidentiality), 10 (Intellectual Property), 11 (Limitation of Liability), 14 (Governing Law), and 16 (Contact Information) will survive termination of this agreement.
In the event of a dispute arising out of or related to this agreement or the services provided, both parties agree to first attempt to resolve the matter through good faith negotiation. A representative of each party with authority to make decisions regarding settlement shall meet (in person, by telephone, or electronically) within 30 days of written notice of the dispute to discuss potential resolution.
If good faith negotiation does not result in resolution within 45 days of the initial notice, either party may request mediation. The parties agree to submit the dispute to non-binding mediation, with the costs of mediation split equally between the parties. Mediation will be conducted in accordance with the mediation rules established by the American Arbitration Association or another mutually agreed mediator.
If mediation does not result in resolution within 60 days of the mediation request, either party may pursue resolution through litigation in accordance with Section 14 below.
Unless otherwise agreed, clients agree to continue paying for services during the dispute resolution process. Disputes regarding the quality or scope of services do not excuse payment obligations.
These Terms and your use of Atlas Piece services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. All disputes, claims, or litigation arising out of or related to these Terms or the services provided shall be subject to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
By agreeing to these Terms, you consent to the jurisdiction and venue of these courts and waive any objection based on inconvenient forum.
Atlas Piece reserves the right to modify these Terms at any time at its sole discretion. We will provide notice of any material changes via email to the email address associated with your account or through prominent notice on our website at least 30 days before the changes become effective.
Your continued use of Atlas Piece services following the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with any modifications, your sole remedy is to terminate your account in accordance with Section 12.
Atlas Piece will maintain a record of previous versions of these Terms for your reference.
